Tognum appoints Dr. Michael Haidinger as its new Chief Sales Officer

As decided by the company’s Supervisory Board at its meeting yesterday evening unanimously and effective 1st July 2012, Dr. Michael Haidinger (51) is to become the new member of the Executive Board of Tognum AG, working as a Chief Sales Officer. He succeeds Peter Kneipp (52), who left the Executive Board at the end of February 2012 by mutual agreement to follow a new professional challenge.

Dr. Haidinger is currently President of Rolls-Royce Deutschland and a member of the Supervisory Board of Tognum AG. He will step down from both positions at the latest when he is appointed as the new Chief Sales Officer of Tognum AG. With his appointment to the Tognum Executive Board, Dr. Michael Haidinger will assume responsibility for the Engines and Onsite Energy business units in addition to the global distribution and service business, duties currently being performed on an interim basis by Joachim Coers, the Chairman of the Tognum Executive Board.

Born in Austria, Dr. Michael Haidinger has worked in various international companies in the aerospace industry since 1989, such as DASA, Fairchild/Dornier, Airbus, Eurocopter and, since 2006, Rolls-Royce. In the course of his career, he has been responsible for a variety of areas, including sales, contract management, after sales, service and distribution. At Rolls-Royce, Michael Haidinger is primarily responsible for directing the company’s global activities with business jet engines and is dealing with a large portfolio of customers. In this field and in previous positions he has held, he has acquired extensive experience with civil aerospace customers and in both national and international governmental business. During the time he has spent at Rolls-Royce, revenues in his area of responsibility have more than doubled. Dr. Michael Haidinger is married and has two children.

Tognum to expand its Aiken Plant in South Carolina, USA

Tognum, the specialist for propulsion and power solutions, will expand its Aiken Plant for MTU engines and create 20 futher jobs over the next two years. The $40 million expansion project is made possible partially thanks to support of Aiken County, S.C. as well as the State of South Carolina.

The investment follows Tognum’s initial commitment of $45 million in plant renovations and expansion, and is part of the company’s ongoing plans to increase its footprint in North America. The company maintains facilities and offices throughout the USA, and is also in the midst of an international plant expansion program.

“The global need for clean, efficient diesel engine technology continues to increase, and Tognum is uniquely positioned to meet that increasing demand,” said Dr. Ulrich Dohle, member of the Tognum Executive Board for Technology & Operations. “Our global strategy provides us with the ability to expand intelligently and remain a leading-edge solution provider to our customers around the world.”

Expansion plans for the MTU Aiken Plant include two new research and development buildings that will house new engine test equipment, as well as additional visitor and employee parking areas. Construction has already begun, and Tognum America Inc., an American subsidiary of Tognum AG, expects to complete the new facilities by the end of this year.

In addition, Tognum plans to fill 20 new full-time positions at the Aiken Plant as a result of this expansion. The company has already surpassed its initial plan of 250 employees which were to be in place by 2014.

“Today’s announcement shows Tognum’s commitment to South Carolina and we celebrate the $40 million investment and the new jobs they will create in Aiken County. We know we are on the right track with economic development when existing businesses, like Tognum, grow their footprint here,” said South Carolina Gov. Nikki Haley.

The Tognum Group is to start the building of a new plant in Poland to expand its European production as well as development capacity. The specialist for propulsion and power solutions is to invest more than €90 million in the new site close to the City of Stargard Szczeciński in North-West Poland.

The plant is to start producing the first components for Tognum’s MTU brand engines as of 2013. In addition to production, facilities will be set up for the development of mechanical and electronic engine components in Poland. Tognum is also to make investments of a similar magnitude in its lead plant in Friedrichshafen.

“We expect to grow faster in future than the market. This will be due primarily to our new drive systems, which feature low fuel consumption and reduced emissions, in addition to long service life and extremely high performance,” said Dr. Ulrich Dohle, the member of the Tognum Executive Board responsible for Technology & Operations and Deputy Chairman, at a press conference in Warsaw.

“With the expansion of our production capacity in Poland, therefore, we are creating a fundamental requirement for the growth we expect in the future, because our existing production facilities in Germany, the USA and China will not be enough. The new plant in Poland is also a key element of our global expansion strategy,” Dohle emphasised.

From the middle of 2013, production output from the future plant in Stargard Szczeciński will primarily include crankcases, cylinder heads and large-volume parts for Tognum’s MTU brand Series 2000 and 4000 engines. They will be delivered to the assembly lines of the lead plant in Friedrichshafen (Germany) and to the plants in Aiken (USA) and Suzhou (China), where engines, drive and propulsion systems and energy systems are manufactured for the Tognum Group.

In addition, Tognum is expanding its development capacity to Poland, where engineers and designers will develop and test engine components and electronic modules manufactured in the new plant that will be earmarked for engine control and automation systems. The first employees from Poland will be involved in preparing the site and erecting the plant. By the time the plant becomes fully operational in 2015 as scheduled, the Tognum Group will have increased its workforce to over 200 employees.

The prerequisite for meeting the schedule is that all approvals from the relevant authorities are granted within the required timeframe. MTU Polska, the Tognum subsidiary that has since been formed, has already purchased a 20 hectare site for the erection of the plant near Stargard Szczeciński. The tremendous potential that is available in terms of specialists and the proximity to logistics hubs, such as major seaports, are two key location factors that speak in favour of Stargard as the new location.

“The future plant is an important part of our global production network, which will subsequently become even more tightly knit and more flexible,” said Dohle. Tognum’s Friedrichshafen location, which is the largest in the network, has a key role to play, but offers only limited possibilities for further expansion. “Friedrichshafen will remain our lead plant for the key areas of research, development and production,” said Dr. Ulrich Dohle, CTO of Tognum AG, most emphatically. “Relocating part of our production to Stargard will create space on Lake Constance that will enable us to expand the remaining production and assembly lines.”

Tognum´s ongoing compliance investigation

Tognum has introduced several primary, decisive measures today regarding the ongoing investigation into potential improper payments by its subsidiary MTU Asia. Tognum started this investigation in February 2011 after receiving external information. Preliminary results of this investigation have been passed to the supervisory board, leading to the measures communicated today. The state prosecutors in Ravensburg had already been informed by Tognum that promised full cooperation with any separate investigation by the German Authorities.

Supervisory Board and Board of Management of Tognum both adhere to strict policies of zero tolerance towards bribery and corruption. The new supervisory board with members of majority shareholders Daimler and Rolls-Royce, together with the Management Board of Tognum, will continue to work with the highest priority and care to clarify these issues as well as to take decisive remedial action. To ensure the consistent application of the highest standards of conduct across the organization, Tognum has ordered an immediate, comprehensive and rigorous independent review of Tognum’s compliance systems and their effectiveness.

The supervisory board and Peter Kneipp, member of the Board of Management and formerly in charge of MTU Asia, have mutually agreed that Mr. Kneipp will be relieved of his duties. Peter Kneipp is interested in a fast and full investigation of the matter, also in the interest of Tognum. He will fully support the investigation of the district attorney. The supervisory board has therefore relieved Mr. Kneipp from his duties effective immediately.

His tasks will be taken over by Tognum CEO Joachim Coers.

The Supervisory Board of propulsion and energy systems specialists Tognum has appointed four new members. All shareholder representatives now are from majority shareholders Rolls-Royce and Daimler, which hold 98.8% of Tognum’s capital through Engine Holding GmbH. The final composition of the Supervisory Board brings the new ownership structure after the takeover by Rolls-Royce and Daimler.

Ulm Local Court appointed John Paterson, Andrew Heath and Dr. Michael Haidinger from Rolls-Royce and Stefan Buchner from Daimler as new members of the Supervisory Board. Andreas Renschler was elected Chairman of the Supervisory Board, of which he has been a member since 2008. The term of appointment of all shareholder representatives of the Supervisory Board ends at the next Tognum Annual General Meeting when there is a regular election for all respective positions.

The new Supervisory Board members from Rolls-Royce bring with them expertise in marine, energy and power systems as well as know-how in the German market: John Paterson is President Marine and Industrial Power Systems at Rolls-Royce. Andrew Heath is President Energy at Rolls-Royce and Dr. Michael Haidinger is President Rolls-Royce Deutschland and President Civil Small & Medium Engines.

With Stefan Buchner, another senior executive of Daimler Trucks will join the Tognum Supervisory Board. Buchner is Head of Global Powertrain, Procurement and Manufacturing Engineering Trucks. He takes his place alongside existing Supervisory Board members Andreas Renschler, Member of the Board of Management of Daimler AG and Head of the Daimler Trucks Division, and Dr. Edgar Krökel, Daimler Vice President Mergers & Acquisitions and Corporate Real Estate.

The previous Tognum Supervisory Board members Rolf Eckrodt, Sune Karlsson, Dr. Cletus von Pichler and Axel Arendt have stepped down from the Supervisory Board.

Tognum to present its new MTU Series 2000 marine engine at the Genoa Boat Show

Tognum will be showcasing its latest MTU Series 2000 marine engine at “Salone Nautico Internazionale” – the Genoa Boat Show, which will start tomorrow the 1st October and will be held through to 9th October (Pavillon C, booth T30). Also featuring at the show will be MTU’s automation and service solutions for the yacht sector.

The Series 2000 M94 marine engine boasts the highest performance values in its class and an improved power-to-weight ratio. An increase of up to 8 percent in power output has been achieved over the previous model. Available in 8, 10, 12 and 16-cylinder versions, the engine covers the 930 to 1,940 kW (1,250 to 2,600 bhp) range at 2,450 rpm.

With respect to fuel consumption at cruising speed and generation of higher charge pressures at lower rpms, turbocharger performance has been enhanced – key to shortening acceleration time on seagoing vessels. On top of that, the unit meets all emissions standards applying to marine engines worldwide and comes automatically equipped with a

SOLAS (Safety of Life At Sea) certificate. To ensure that the surface temperature of the engine never exceeds 220 °C, the M94 also features double-walled fuel lines and triple-walled, water-cooled turbocharger and exhaust gas lines. That helps keep the temperature in the engine room relatively low, which in turn enhances comfort and safety. The M94 is also an exceptionally quiet engine, boasting extremely low sound pressure levels when idle or at low speeds.

Also featuring in MTU’s tradeshow presentation is “Smartline” and “Blueline” – the standard ship automation systems for monitoring and control of MTU’s Series 2000 and 4000 propulsion systems. The system is suitable for different propulsion configurations such as fixed pitch propeller (FPP) or water jets.

Not only its engines, but also its service makes MTU a partner that the customer can count upon. The MTU ValueCare package includes a longer warranty (EPC: Extended Propulsion Coverage). Other service offerings include tailor-made maintenance agreements, remote services and swift, reliable supply of high-quality, genuine MTU-brand spares.

MTU at Monaco Yacht Show with latest generation of Series 4000 Engines for Superyachts

Tognum will be showcasing its latest MTU-brand Series 4000 engine for superyachts over 50 meters from 21 to 24 September, at Europe’s foremost mega yacht exhibition, the Monaco Yacht Show.  The company’s exhibits will also include automation and service solutions.

Model 4000 M73/M93 diesel engines are powerful, clean and they boast an outstanding power-to-weight ratio which puts them at the top of their class for acceleration. Available in 12, 16 and 20-cylinder versions, they cover a performance range from 2,340 to 4,300 kW (3,140 to 5,770 bhp) and have enjoyed a high level of success in yacht applications for many years.

The latest engines in the series, Model 4000M53/M63, are available in 8V, 12V and 16V versions covering the 746 to 2,240 kW (1,000 to 3,000 bhp) range. Their low fuel consumption, which extends the vessels’ maximum range, makes them particularly suitable for operation in displacement yachts. Daimler AG and Rolls-Royce launch public tender offer for Tognum AG

Daimler AG and Rolls-Royce Group plc today launched their voluntary public offer for the majority of Tognum AG through their 50:50 joint venture Engine Holding GmbH. Further to the announcement issued on March 9, 2011 the offer document has been approved by the Bundesanstalt für Finanzdienstleistungsaufsicht (BaFin).

From today, shareholders can accept the offer and tender their shares in Tognum AG. Acceptance of the offer must be declared in writing to the custodian bank. The acceptance period will expire on May 18, 2011 at 24:00 hrs (local time Frankfurt am Main)/18:00 hrs (local time New York). UniCredit Bank, Munich will act as settlement agent with regard to the tender offer.

As announced on March 9, 2011 shareholders will receive €24 for each tendered share in Tognum AG. The price offered is highly attractive and represents a significant premium of approximately 30 per cent above the XETRA closing price of Tognum AG shares on Friday March 4, 2011, the last undisturbed trading day before rumours of an offer emerged.

Shareholders who tender their shares will retain their right to the dividend for the financial year 2010. The proposed dividend of €0,50 per share is subject to approval by Tognum’s Annual General Meeting, which takes place on May 11, 2011, one week before the offer closes.

The offer is made, inter alia, subject to a minimum acceptance threshold of at least 50 per cent plus one share of the share capital of Tognum AG at the time of expiry of the acceptance period as well as certain regulatory approvals. Daimler already holds a very significant stake of 28.4 per cent of Tognum AG, which will be tendered at the offer price.

Under the joint ownership of Daimler and Rolls-Royce, Tognum will be well-positioned as a global leader in the Marine, Distributed Power Generation, Offshore Oil & Gas and Industrial applications markets establishing a strong platform for future growth in a global market worth more than €30 billion a year. The partners intend to maintain the current manufacturing sites and are confident that the growth strategy will secure jobs and lead to further opportunities. In addition to significantly strengthening Tognum’s future competitiveness, and broadening the product range, systems and service capabilities, the combination also enhances the company’s access to emerging markets.

Dieter Royal new CFO at Tognum

The specialist for propulsion and power solutions Tognum decided at the meeting of the Supervisory Board on 14 March 2011, that Dieter Royal (47) will join the Executive Board as the new member responsible for the Finance and Corporate Services Division effective 1 October 2011.

Dieter Royal succeeds Joachim Coers (46) as CFO, who replaces Volker Heuer (58) as CEO of the Tognum Group as of 1 October 2011. As announced in April of last year, Volker Heuer will then terminate his contract and go into retirement. In  his new position as CEO, Joachim Coers will continue as Labour Director of Tognum A G and will remain responsible for Human  Resources worldwide.

Dieter Royal is currently Head of Corporate Finance at Tognum AG. In this position, he is responsible for Investor Relations, Accounting , Corporate Planning, Treasury, Taxes, Mergers & Acquisitions and Investment Controlling worldwide. Dieter Royal, who holds a degree in Economics, has been with Tognum since 2007. Until July 2007, he had been at the MDAX-listed systems engineering supplier and robot manufacturer, KUKA AG, Augsburg. As head of the M&A department there, he was primarily responsible for repositioning the former IWKA AG in 2006/2007 and, in his simultaneous position as head of the Investor Relations department, was responsible for the associated capital market communications.

Dieter Royal began his professional career in investment banking at Dresdner Bank AG in 1992. Until 1999, he held various management positions in the leveraged finance and capital markets departments at the bank’s offices in Frankfurt, New York and São Paulo. At Tognum, Royal reports directly to the CFO, Joachim Coers. Dieter Royal is married and has one child.
